Terms & Conditions of Supply
Official terms governing all sales, technical specifications, dispatch, and commercial contracts for TASA Gulf Industry products manufactured in Dubai, UAE.
1. Scope & Applicability
These Terms and Conditions of Supply ("Terms") apply to all quotations, proforma invoices, sales contracts, and dispatches of industrial copper products—including Oxygen-Free Copper Busbars, Continuous Cast Rods, Paper-Insulated Conductors (PICC), Copper Strips, and Custom Extruded Profiles—issued by TASA Gulf Industry ("Seller") to commercial buyers ("Buyer").
2. Quality Standards & Technical Tolerances
All products manufactured at our Dubai Industrial City facility strictly comply with international metallurgical standards:
- Material Purity & Conductivity: High-conductivity copper complying with ASTM B187, ASTM B170 Grade 1, IEC 60317, and EN 13601 specifications. Oxygen-free copper contains <5 ppm oxygen content and minimum 100% / 101% IACS electrical conductivity.
- Dimensional Tolerances: Dimensional, straightness, and edge-radius tolerances follow standard factory specifications unless custom tolerances are explicitly agreed upon in writing on the Proforma Invoice.
- Mill Test Certificates (MTC): Every shipment is accompanied by an official MTC per EN 10204 3.1 certifying chemical composition, electrical conductivity, and mechanical tensile properties.
3. Pricing & London Metal Exchange (LME) Basis
Product prices are quoted based on the official London Metal Exchange (LME) Copper Cash Settlement price plus manufacturing/extrusion premium. Due to metal market volatility, formal quotations remain valid for the period stated on the quotation (typically 3 to 7 business days) and require written confirmation or deposit placement to lock LME pricing.
4. Payment Terms & Financial Guarantees
Unless otherwise agreed in a signed master supply agreement, payment terms are:
- Advance Telegraphic Transfer (T/T) deposit upon order confirmation, with remaining balance settled prior to factory dispatch.
- Irrevocable, Confirmed Letter of Credit (L/C at sight) issued by a top-tier international bank acceptable to Seller.
5. Delivery & Incoterms® 2020
Deliveries are executed under Incoterms® 2020 (EXW Dubai Industrial City, FOB Jebel Ali Port, CIF destination port, or DDP GCC land transport). Risk of loss transfers to the Buyer upon handover to the carrier as defined by the designated Incoterm.
6. Inspection & QA Claim Procedure
Buyer must inspect goods upon arrival. Any discrepancy regarding quantity, physical damage, or quality non-conformance must be reported in writing within 14 calendar days of arrival, supported by third-party ISO/IEC 17025 accredited laboratory test reports.
7. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the commercial laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. Any dispute arising out of or in connection with supply contracts shall be submitted to the exclusive jurisdiction of the Courts of Dubai or resolved through Dubai International Arbitration Centre (DIAC).
